- Pursuant to the Law No.102-SL/L004 of the establishment of Association issued on May 20, 1957

- Pursuant to the Decree No. 181-CP on deciding goals, objectives, authority and organizational structure of Governmental Organization and Personnel Committee date 11^th of November, 1994.

- On the proposal of the Chairman of the Chairman of PATA Vietnam Chapter

DECIDES:

Article 1: Acknowledgement of PATA Vietnam Chapter^,s Regulation that had been passed by all of those who presented and voted at the Annual General Meeting dated August 17, 1996, is in conformity with laws and regulations of organizational and operational Association in Vietnam

Article 2: The Chairman of PATA Vietnam Chapter has responsibility to imply this decision.

PATA VIETNAM CHAPTER'S REGULATION

PART 1: GENERAL AGREEMENTS

Article 1: The Chapter of the Pacific-Asia Travel Association in Viet Nam (Hereinafter called PATA Vietnam Chapter). Is a voluntarily allied profestional organization of members that includes PATA members and others tourism businesses with their offices located in Vietnam. PATA Vietnam Chapter shall operate in accordance with both PATA^,s Bylaws and Vietnam legistrations with the airm of accelerating  the Tourism development.

Article 2: PATA Vietnam Chapter is juridical status of a legal entity with its own seal and Vietnamese Bank Accounts. The head office shall be located in Hanoi Capital. PATA Vietnam Chapter shall be administered by Vietnam National Adminitered of Tourism and other authority sectors.

PART II: OBJECTIVES AND RESPONSIBILITIES

Article 3: The objectives of PATA Vietnam Chapter shall be:

3.1: A tourism information forum: to negotiate with the government about tourism policies with the aim of accelerating tourism development.

3.2: To assist its members in proving tourism activities through educating new management techniques and training skills.

3.3: To organize forums and attend Travel Marts, Exhibitions and Conferences in accordance with Regulations of the Government and Vietnam National Administration of Tourism

3.4: To provide a liaison between PATA, PATA Chapter and all PATA Vietnam Chapter members.

3.5: To preserve PATA Vietnam Chapter member^,s rights.
            Article 4: The responsibilities PATA Vietnam Chapter shall be:

4.1: To contribute to the grouth, value and quality of tourism in Vietnam and the Pacific Asia area.

4.2: To guide, assist and provide information of tourism economy for all members.

4.3: To support, estimate and develop a liaison among members and other partners.

4.4: To assemble, research and consult with members in oder to augmenting and assisting the government about tourism issues concerned.

4.5: To implement or assist in the conduct of projects of PATA Vietnam Chapter member^,s

4.6 To organize leisure activities and tours, to carry out research work relating domestic and international markets and others in oder to advertise member^,s products.

PART III: MEMBERSHIP

Article 5: Membership approval:

There are two types of membership: Official and Honorary Memberships

5.1: Official membership shall be all legal entities whose operation relates to tourism field; voluntary to joint in and accept the regulation; and granted by the Executive Committee of PATA Vietnam Chapter.

5.2: Honorary membership:

- Shall be individual or organization that has prestige, capability, knowledge and enthusiasm to contribute to Vietnam tourism and PATA Vietnam Chapter, an is invited by the Executive Committee.

 - Life PATA membership which its head office or branch in Vietnam shall be seen as PATA Vietnam Chapter honorary membership.

Article 6:

Benefits and responsibilities of Membership

* Benefits:

- Has been assisted for business activities and working relationship with domestic and international organisations.

- Has been providing regularly information.

- Has been allowed to attend all the events and activities, which are carried out by PATA Vietnam Chapter.

- Has right to make PATA Vietnam Chapter^,s decisions.

- Has right to vote, nominate and can be elected as member of Broad Director of PATA Vietnam Chapter.

* Responsibilities

- To execute regulation and resolution of PATA Vietnam Chapter

- To attend positively all PATA Vietnam Chapter events.

- To consult in PATA Vietnam Chapter Strategy

6.2: For Honorary Membership:

* Benefits:

- Has been providing regularly information

- Has been allowed to attend some the events and activities, which are carried out by PATA Vietnam Chapter.

- Has right to make PATA Vietnam Chapter^'s decisions.

* Responsibilities

- To support PATA Vietnam Chapter in term of spirit and property in oder to develop tourism in the future.

            Article 7: Temination of Membership

Chapter Membership will be terminated if being in one of cases following:

- Do not want to be a Chapter Membership

- Do not execute PATA Vietnam Chapter Regulation.

- Owe membership fee over 6 months.

- Have been terminated PATA Membership for any reason (except that terminated members in the industry travel agency category)

PART IV: CHAPTER'S STRUCTURE

Monitoring offices of the Chapter Board include:

- General Meeting

- Executive Committee

- Secretary Committee

Article 8: General Meeting

8.1: General meeting is highest managerial level of PATA Vietnam Chapter. General Meeting has responsible to:

- Pass the report of Executive Committee^, activities and decide the line of PATA Vietnam Chapter^,s actions for the upcoming term.

- Debate and decide important PATA Vietnam Chapter themes.

- Elect new Executive committee.

8.2: The General meeting shall be held by 30^th of june every year. The new Executive Committee shall take office effective July 1 of that year to coincide with the beginning of the PATA fiscal year.

8.3: The General Meeting has been approved if at least 2/3 Chapter Member attend. All decisions shall be made by a simple majority of those members present and voting.
            Article 9: Executive Committee:

9.1: Executive Committee has been elected in General Meeting with 1-year term in oder to manage the chapter^,s activities during the period between two General Meeting times.

9.2: The Executive Committee shall be comprised of nine (9) members and work part-time except General Secretary who shall work full time.

9.3: The Chapter Chairman shall hold his/her position for maximum of two consecutive years.

In the case of urgent, Executive Committee can call a special General Meeting.

9.4: Assigning works for Members of Executive Committee

* Chairman:

- Monitors the actions of the Chapter, Executive Committee, Secretary Committee in accordance with the regulation and rosolution.

- Shall call and be the chairman of General and Executive Committee Meeting.

- Appoints Heads of Committees and assign responsibilities to Executive Committee, Secretary Committee and other committee.

- Nominate persons to serve Industrial Council and Consultation council of PATA if required

* Vice Chairman

- Undertake specific responsibilities as may be assigned by the Chairman

- Assist Chairman in the execution of his/her duties and function.

- Chair meetingin the absence of the Chairman

* Members of Executive Committee

- Undertake specific responsibilities as may be assigned by the Chairman

- Assist Chairman in the execution of his/her duties and functions

Article 10: Secretarial Committee

- Secretarial Committee includes General Secretary and maximum 02 secretaries. They will work full-time

- Secretarial Committee has responsibility for:

+) Carrying out daily PATA Chapter and Executive Committee^,s Activities.

+) Collecting, analyzing and providing information for PATA and PATA Vietnam Chapter members.

+) Liaising with sub-Committees to coordinate activities.

+) Proposing methods of implemening the Chapter Resolution to Executive Committee.

+) Organizing both Executive Committee and General Meetings

+) Proposing the stratery of expanding chapter member network, improving Chapter Budget.

+) Payment for Secrettary Committee is decided by Executive Committee.

PART V: FINANCE

Article 11: PATA Vietnam chapter uses its own budget to operate

Article 12: Sources of finance include:

- Application and annual membership fees. Amount due will be determined at General Meeting and in accordance with Government principles.

- Amount which either Domestic/international individual or organisations sponsor.

- Fund rising from Chapter activities

Article 13: Chapter^,s finance shall be managed appropriately with Chapter^,s demands which are determined at General Meeting and incordance with Government principles.

Article 14: In June of the year, Secretarial Committee make financial statement of the current year and prepares fiscal for the upcoming year. All document will be presented to Executive Committee and approved at General Meeting.

PART VI: FINAL CLAUSE

Article 15: Amendement of regulation shall only be aproved if 2/3 majority of those presented at an Annual of Special General Meeting vote for and hereaf it has been approved by Vietnam State Competence and the PATA President

Article 16: Dissolving PATA Vietnam Chapter is determined by 2/3 majority Chapter members who present at General Meeting vote for. Decree of dissovling PATA Vietnam Chapter is valid when all finacial issues related have been solved and granted Authority Government office.

Article 17: This regulation has been effective since Authority office of Vietnamese Government and Chairman of PATA Vietnam Chapter approve.
